End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User", "you") and Intellinex Ltd. ("Intellinex", "we", "us") for the use of the Flora Signal software application, including the web application, mobile application, and edge device software (collectively, the "Software").

By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.

1. License Grant

Subject to compliance with this EULA and payment of applicable fees, Intellinex grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the mobile application on devices you own or control
  • Access and use the web application through a supported browser
  • Deploy and operate the edge device software on hardware at your authorized sites

2. License Restrictions

You may not:

  • Copy, modify, or create derivative works of the Software
  • Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Software
  • Rent, lease, lend, sell, sublicense, or distribute the Software to any third party
  • Remove, alter, or obscure any proprietary notices in the Software
  • Use the Software to develop a competing product or service
  • Circumvent any technical limitations or access restrictions in the Software

3. Edge Device Software

The edge device software is licensed for use solely on authorized hardware at sites registered to your account. You acknowledge that:

  • The edge software may receive automatic updates, including security patches that may be applied without prior notice
  • The edge software communicates with our cloud services for synchronization, monitoring, and remote management
  • Tampering with or modifying the edge software may void your warranty and support entitlements

4. Intellectual Property

The Software and all copies thereof are proprietary to Intellinex and title thereto remains in Intellinex. All rights in the Software not specifically granted in this EULA are reserved to Intellinex. The Software is protected by copyright and other intellectual property laws.

5. Data Collection

The Software collects and transmits sensor data, device telemetry, and usage analytics as described in our Privacy Policy. By using the Software, you consent to this data collection.

6. Third-Party Components

The Software may include open-source components governed by their respective licenses. A list of third-party components and their licenses is available upon request. Nothing in this EULA limits your rights under applicable open-source licenses.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. INTELLINEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INTELLINEX DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL INTELLINEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, CROPS, OR BUSINESS OPPORTUNITIES, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

INTELLINEX'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Termination

This EULA is effective until terminated. It will terminate automatically if you fail to comply with any of its terms. Upon termination:

  • You must cease all use of the Software
  • You must uninstall the mobile application from your devices
  • Your access to the web application will be revoked
  • Edge device software licenses will be deactivated
  • You may export your data within 30 days, after which it may be deleted

10. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the Software to any country, person, or entity prohibited by applicable law.

11. Governing Law

This EULA is governed by the laws of the Republic of Bulgaria. Any disputes arising under this EULA shall be resolved in the courts of Sofia, Bulgaria, unless otherwise required by applicable consumer protection law.

12. Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Intellinex regarding the Software and supersedes all prior agreements.
