Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Flora Signal platform and related services (the "Service") provided by Intellinex Ltd. ("Intellinex", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

3. Subscription & Billing

  • Plans. The Service is offered under various subscription plans as described on our website. Features and limits vary by plan.
  • Payment. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.
  • Changes. We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
  • Free tier. We may offer a free tier with limited features. We reserve the right to modify or discontinue the free tier at any time.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code or harmful data
  • Resell or redistribute the Service without authorization
  • Use automated means to scrape or extract data from the Service

5. Your Data

You retain ownership of all data you submit to or generate through the Service ("Your Data"). You grant us a limited license to process, store, and transmit Your Data solely to provide and improve the Service. We will not access Your Data except as necessary to provide the Service, prevent or address technical issues, or as required by law.

6. Edge Devices & Hardware

  • Responsibility. You are responsible for the proper installation, maintenance, and physical security of edge devices and sensors deployed at your site.
  • Connectivity. The Service requires internet connectivity for cloud features. Edge devices operate autonomously for local control when offline.
  • Updates. Edge device software may be updated automatically. Critical security updates may be applied without prior notice.

7. Automated Control Actions

The Service may execute automated control actions (e.g., irrigation, climate control, lighting) based on sensor data, schedules, and AI recommendations. While we strive for accuracy and reliability:

  • You are ultimately responsible for the physical outcomes of automated actions at your facility.
  • You should configure appropriate safety limits, interlocks, and manual overrides.
  • We are not liable for crop loss, equipment damage, or other consequences arising from automated control actions.

8. Intellectual Property

The Service, including all software, designs, algorithms, and documentation, is the exclusive property of Intellinex and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLINEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, CROPS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Intellinex from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • By you. You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • By us. We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law.
  • Effect. Upon termination, your right to use the Service ceases. You may export Your Data within 30 days of termination.

13. Governing Law

These Terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be resolved in the courts of Sofia, Bulgaria, unless otherwise required by applicable consumer protection law.

14. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
